Void, voidable or illegal? One word decides who gets paid.
π On this page
β‘ The short answer
A void agreement has no legal force; nobody can sue on it. A voidable contract is fully valid until the party whose consent was not free chooses to cancel it. An illegal agreement is void and forbidden, so it also taints deals connected to it. An unenforceable contract is sound but cannot be sued on until a formality is fixed.

The licence that never came
1
ββΉ40,000 and I get a licence without the test?β
πͺͺ
Aarav
Kabir claims an RTO βcontactβ.
2
βHere's the loan. Go get that shortcut.β
πΈ

Rohan knows what it's for.
3
βLicence? What licence?β
π
Kabir
Kabir pockets the money.
4
βI'm suing Kabir! And Rohan is suing me!β
βοΈ
Aarav
Does either case fly?
Tara's ruling: Both fail. Bribing an official is illegal, so the court helps neither side and Aarav's βΉ40,000 is gone. Rohan lent knowing the purpose, so the taint reaches his loan too; an innocent lender could recover. That spreading taint separates illegal from merely void.
What do void, voidable and illegal actually mean?
An agreement is promises swapped for promises; the law then stamps it. Valid: enforceable. Voidable: valid, but one party holds a kill switch because their consent was pressured or tricked out of them. Void: no legal force, from day one (void ab initio) or from the moment it stops being enforceable. Illegal: void and actively forbidden. Unenforceable: sound, but missing a formality such as a required stamp.
ποΈ The scale
How much life is left in the deal?
β Fully aliveDead and contagious β
Valid
Enforceable by both sides.
e.g. a fair bike sale
Voidable
Binding until the wronged party cancels.
e.g. seller lied about mileage
Unenforceable
Sound, but no suit until a formality is fixed.
e.g. a required stamp is missing
Void
No legal effect at all.
e.g. a bet on the IPL final
Illegal
Void, forbidden, and taints linked deals.
e.g. bribing an official
Each step right strips away more legal effect; illegal also spreads.
β How the sets nest
Every illegal agreement is void, not the reverse
Agreements β every exchange of promises; valid contracts sit outside the void circle.
Void β unenforceable by design: wagers, restraint of marriage, a minor's deal.
Illegal β void and forbidden. Only these taint collateral deals.
How do you pick the right label?
βοΈ Side by side
Void vs Voidable
π«Void
Born dead, or died later
β’Nobody can enforce it, not even the innocent side
β’The law has already decided
β’Cannot be ratified later
πVoidable

β’Binding until cancelled
β’Only the victim can cancel
β’The victim may affirm instead

Valid contract
Which agreements does the law itself call void?
Beyond unlawful object, the law names deals it refuses to enforce. Most are void but not illegal, and most carry an exception. CLAT loves the exception.
Void. Someone usually of unsound mind can contract in a lucid interval.
πMutual mistake of fact
Both sides wrong on an essential fact. A one-sided mistake won't do.
πNo consideration
Void, except promises from natural love and affection, for past voluntary help, or to pay a time-barred debt.
πRestraint of marriage
Void for adults. A restraint on a minor's marriage is not caught.
πͺRestraint of trade
Void, except a seller of goodwill agreeing not to compete within reasonable limits.
ποΈRestraint of legal proceedings
Can't shut out all courts or cut the time to sue. Arbitration is fine.
βUncertain meaning
βSome oilβ is void unless the context makes it certain.
π²Wagers
Void, not illegal, in most of India. Insurance is not a wager.
πͺImpossible act
Void if impossible from the start, like finding treasure by magic.
π What CLAT actually expects
The passage gives the rule, often as a list like this. Match the facts to the label and apply the consequence the passage attaches. Never import an exception it leaves out.
What changes when a contract becomes void later?
Kabir agrees to cater Zoya's wedding at a farmhouse; two days before, the authorities seal it. The contract was valid when made and becomes void once performance turns impossible. Neither side is liable after that, but advantages received go back, so Zoya's advance returns.
βSupervening impossibility: the subject matter is destroyed or the deal's whole point disappears.
βSupervening illegality: a later law or a war bans performance.
βHardship is not enough: costlier or slower performance is still possible performance.
βKnown impossibility: a promisor who knew, when the promisee didn't, must compensate.
βRescission: a voidable contract becomes void the moment the victim cancels it.
Voidable at whose option, and how is it cancelled?
Only the party whose consent was not free. If Aarav cheats Zoya, Zoya may cancel or carry on; Aarav can never use his own lie as an exit.
1
Communicate it
Rescission must reach the other side, by words or clear conduct, like communicating an offer.
2
Give back what you got
The rescinding party restores the benefit received, so far as possible.
3
Claim the loss
A party who rightly rescinds can claim compensation for non-performance.
The option dies if the victim affirms after learning the truth, delays unreasonably, or an innocent buyer pays for the goods before rescission. And if ordinary diligence would have revealed the truth, misrepresentation (or fraud by mere silence) gives no option at all.
Why is an illegal agreement worse than a void one?
Between the parties, both are dead: neither can sue. The difference shows in collateral deals, the loan or partnership that helps it happen.
Collateral deal
Main deal merely void
Main deal illegal
Rohan lends money for it
Rohan recovers
Recovers only if he did not know the purpose
Partners share the loss
Enforceable
Tainted; court won't help
Money already paid
Restitution possible if discovered void
Usually lost: equal guilt favours the defendant

π‘ The collateral two-step
Is the main deal void or illegal? Did the collateral party know? Only illegality plus knowledge kills the side deal. A lawful part that separates cleanly survives.
Can you get your money back after a void deal?
Often, yes. When an agreement is discovered to be void, or a contract becomes void, whoever got an advantage must restore it. But if both sides knew from the start it was unlawful, nothing was βdiscoveredβ, so no refund. Illegal deals stay put unless one party was far less guilty, say cheated into it. And the rule gives no refund against a minor.
β οΈ Heads-up on CLAT 2025 Q67
The final key marked an agreement signed by a minor voidable. Settled law says void (Mohori Bibee, below), so we think the key is wrong. In the exam, apply the passage's own definitions first.
Which cases settle the labels?
π
Landmark case Β· 1903 Β· Privy Council
Mohori Bibee v Dharmodas Ghose
π
What happened
A minor mortgaged his houses to a moneylender and received about βΉ10,500. The lender's agent knew he was a minor.
β
The question
Void or voidable, and must the minor repay?
π¨
What the court held
Void from the start. As no contract was ever possible, the rules on rescission and refunds did not apply. The lender got nothing back.
What CLAT takes from it: A minor's agreement is void, not voidable.
π²
Landmark case Β· 1959 Β· Supreme Court
Gherulal Parakh v Mahadeodas Maiya
π
What happened
Two partners agreed to make wagering deals and share profit and loss. One paid the whole loss and sued the other for half.
β
The question
Wagers are void, so is the partnership to make them unenforceable too?
π¨
What the court held
No. A wager is void but not forbidden, so the collateral partnership was not tainted. The partner had to pay his half.
What CLAT takes from it: Void is not illegal; only illegality spreads.
ποΈ
Landmark case Β· 1954 Β· Supreme Court
Satyabrata Ghose v Mugneeram Bangur & Co
π
What happened
A developer sold plots, promising roads and drains. In wartime the land was requisitioned, and the developer called the deal off.
β
The question
Did the contract become void for impossibility?
π¨
What the court held
No. Impossible means impracticable or useless for its object. The requisition was temporary and no deadline was fixed, so the contract survived.
What CLAT takes from it: Only a change that hits the root makes a contract void; delay or cost doesn't.
How has CLAT asked it?
π Asked in CLAT 2019Β· Q63Illegal object
Principle: Sale of liquor is illegal. All agreements relating to prohibited items do not exist in the eyes of law.
Facts: βAβ entered into an agreement with βBβ for the sale of liquor. βAβ failed to supply the agreed quantity of liquor to B.
Choose the correct answer.
AB can bring a legal action against A.
BB cannot bring any legal action against A.
CA can bring a legal action against B.
DA and B can initiate appropriate legal proceeding against each other.
Reveal answer + reasoning
Answer: B
Our solution; the 2019 key for this set isn't available. The agreement does not exist in law, so there is no breach for B to sue on.
Why the others fail
A β treats an illegal agreement as a breachable contract.
C β A is the defaulter and has nothing to enforce.
D β neither side can sue on a non-existent agreement.
π Asked in CLAT 2021Β· Q81Restraint of legal proceedings
It is a well settled principle of contract law that parties cannot by contract exclude the jurisdiction of all courts. Such a contract would constitute an agreement in restraint of legal proceedings⦠However, where parties to a contract confer jurisdiction on one amongst multiple courts having proper jurisdiction, to the exclusion of all other courts⦠Such a contract is valid⦠Parties cannot by agreement confer jurisdiction on a court which lacks the jurisdiction to adjudicate.
βAβ of Mumbai and βBβ of Delhi agree to sell and supply goods; the transaction takes place partly in Mumbai and partly in Delhi. A clause gives the courts in Kolkata exclusive jurisdiction, to avoid dispute over choice between the two proper places, Mumbai and Delhi. Which statement is true?
AThe clause relating to jurisdiction is in restraint of legal proceedings.
BThe clause relating to jurisdiction is not in restraint of legal proceedings.
CThe clause relating to jurisdiction is valid as βAβ and βBβ have mutually agreed to the same.
DThe clause relating to jurisdiction is valid as its object is lawful.
Reveal answer + reasoning
Answer: A
Only Mumbai and Delhi are competent; parties can't give Kolkata jurisdiction. So the clause shuts out every competent court. In Q82 the clause picked Chennai, one of two competent courts, and was valid (key: D).
Why the others fail
B β the opposite of the rule just applied.
C β consent can't save a clause the law voids.
D β the restraint itself is what the law strikes down.
π Asked in CLAT 2025Β· Q66Illegal = void
⦠Void agreements are fundamentally invalid making them unenforceable by default. These agreements cannot be fulfilled as they consist of illegal elements⦠However, in the case of voidable contract, the agreement is initially enforceable but it is later on denied at the option of either of the parties due to various reasons. ⦠A void agreement is void ab initio making it impossible to rectify any defects in it while voidable contracts can be rectified.
A contract between two parties to rob a bank and share the proceeds equally can be termed as:
AVoid Contract
BValid Contract
CVoidable Contract
DLegally Enforceable Contract
Reveal answer + reasoning
Answer: A
Robbery is a crime, so the object is unlawful, and the passage ties void agreements to βillegal elementsβ. Strictly it's a void agreement, not a contract, but A fits best.
Why the others fail
B β an unlawful object destroys validity.
C β consent isn't the problem; the object is.
D β no court enforces a crime.

Aarav sells Zoya a laptop, lying that the battery is new. Later, regretting the price, Aarav says he is cancelling.
Q1. Can Aarav cancel?
Fraud makes it voidable at the deceived party's option, not the cheat's.
Kabir takes a βΉ20,000 advance to cater a farewell at a hall. The hall burns down first, nobody's fault.
Q2. What happens to the advance?
Supervening impossibility: it becomes void and the advance is restored.
Assume wagers are void but not illegal. Rohan knowingly lends Aarav βΉ5,000 to settle a private cricket bet. Aarav won't repay.
Q3. Can Rohan recover?
A void, non-illegal main deal taints nothing: Gherulal Parakh logic.
Kabir promises Zoya, 24, βΉ2 lakh if she never marries. Three years on, single, she claims it.
Q4. Can she enforce it?
Staying single is consideration, but the restraint makes it void.
Zoya pays Kabir an advance to import a gadget. Both honestly think it's legal; an earlier ban surfaces.
Q5. Can Zoya get the advance back?
Neither knew, so it was discovered void and the advance returns. Had both known, no refund.

Frequently asked questions
Is a contract induced by fraud void or voidable?
Voidable. Fraud, misrepresentation, coercion and undue influence leave the contract valid until the victim rescinds. Only the deceived party holds that choice, and it is lost by affirming after learning the truth or by waiting too long.
What is the difference between a void and an illegal agreement?
Between the parties, none: neither can sue. But an illegal agreement is also forbidden, so collateral deals made with knowledge, like a loan to fund it, are tainted. A merely void one, like a wager, leaves collateral deals alone.
Can a void agreement become valid later?
No. It cannot be ratified, which is why a minor cannot confirm at eighteen a deal made at sixteen. The parties can make a fresh contract, but that is a new agreement needing its own consent and consideration.
Is an unenforceable contract the same as a void one?
No. An unenforceable contract is valid in substance but can't be sued on because a formality, such as a required stamp or registration, is missing. Cure it and it can be enforced. A void agreement can never be cured.
Are void and voidable marriages like void and voidable contracts?
The logic matches. A void marriage, such as a bigamous one, never legally existed. A voidable marriage is valid until a spouse obtains an annulment on a permitted ground, such as consent obtained by force or fraud.
